Welcome to the GGN

The Georgian Growth Network ("GGN" or the "Community") is a private community designed to give executives of active Georgian portfolio companies information and collaborative opportunities to assist in accelerating business success (the "Services").

Only members of the GGN ("GGN Members") have access to the GGN Platform — comprising the GGN resource site, the GGN Slack instance, and GGN videoconferencing tools and any other platforms, applications, tools, or digital channels that Georgian may introduce or make available to GGN Members from time to time (collectively, the "GGN Platform") — and the following terms and conditions (together with any documents referred to herein) (collectively, the "GGN Terms") apply to GGN Members' use of the GGN Platform, including any content, functionality, and services offered on or through it, and to any mobile, tablet, and other smart device applications and application program interfaces.

PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY BEFORE USING THE GGN PLATFORM AS THEY CONTAIN IMPORTANT INFORMATION ABOUT YOUR LEGAL RIGHTS, REMEDIES AND OBLIGATIONS. IF YOU DO NOT AGREE WITH THESE GGN TERMS, YOU WILL NOT BE GRANTED ACCESS OR USE OF THE GGN PLATFORM.

By accessing and/or contributing to the GGN Platform, or by clicking "I AGREE" at the end of these terms, you agree to Georgian Partners Growth LP's ("Georgian", "we", "our" or "us") terms and conditions listed here, and all other policies made available on the GGN Platform, which are incorporated into these terms by reference.

Relationship to Georgian's General Terms of Use

These GGN Terms apply specifically to the GGN and govern your participation in, and use of, the GGN Platform and Services. They are intended to complement and operate in conjunction with Georgian's general Terms of Use (the "General Terms").

In the event of any inconsistency or conflict between these GGN Terms and the General Terms, these GGN Terms shall govern your access to and use of the GGN Platform and Services, while the General Terms shall continue to apply to your access and use of Georgian's public website and any other Georgian digital properties.

By agreeing to these GGN Terms, you acknowledge that you remain bound by Georgian's General Terms of Use, as may be amended from time to time. The disclaimers, exclusions, indemnities, and limitations of liability set out in the General Terms apply in addition to, and not in limitation of, the provisions contained herein.

Confidentiality and Non-Disclosure

Purpose

The GGN is a private peer community for executives of Georgian portfolio companies. Members may share and receive confidential business, strategic, operational, and financial information in the course of participating in GGN programs, events, and platforms (collectively, "Community Activities"). This section governs Members' obligations with respect to such information and is intended to facilitate open, trusted dialogue among Members.

Definition of Confidential Information

"Confidential Information" means any materials, information, or data shared by a Member or by Georgian in connection with Community Activities, whether shared verbally, in writing, electronically, or through the GGN Platform, including but not limited to: business strategies, financial information, customer and pipeline data, product roadmaps, personnel matters, and any other information that a reasonable person would consider confidential given the nature of the information and the circumstances of disclosure.

Confidential Information does not include information that:

is or becomes publicly available other than through a breach of these GGN Terms;
was already in the receiving Member's possession on a non-confidential basis prior to disclosure through the GGN;
is lawfully received from a third party not known to be subject to any confidentiality obligation with respect to that information; or
is independently developed by the receiving Member without use of or reference to the Confidential Information.

Member Confidentiality Obligations

Each Member agrees to:

hold all Confidential Information in strict confidence;
not publish, distribute, or otherwise disclose any Confidential Information to any third party outside the GGN without the prior written consent of the disclosing Member and Georgian (as applicable);
use Confidential Information solely for the purpose of participating in and deriving benefit from Community Activities, and for no other purpose;
exercise at least the same degree of care to protect Confidential Information as the Member uses to protect its own confidential information, and in no event less than reasonable care; and
promptly notify Georgian and the relevant disclosing Member upon becoming aware of any unauthorized disclosure or use of Confidential Information.

You may share Confidential Information internally with employees or advisors who: (i) have a legitimate need to know the information in connection with your participation in the GGN; and (ii) are bound by confidentiality obligations no less protective than those set out herein. You remain responsible for any breach by such persons.

Compelled Disclosure

If you are required by law, regulation, or court order to disclose any Confidential Information, you agree to:

promptly notify Georgian and the relevant disclosing Member upon learning of such requirement, to the extent legally permitted;
cooperate reasonably in any effort to limit, oppose, or seek confidential treatment for the required disclosure; and
disclose only that portion of the Confidential Information that is strictly required, and use reasonable efforts to obtain confidential treatment or a protective order for the remainder.

Georgian's Confidentiality Obligations

Georgian agrees to hold Confidential Information shared by Members in confidence on the same terms that apply to Members under this section, and to use such information only for the purpose of operating and improving the GGN and providing services to Members.

No Representations or Warranties Regarding Shared Information

Georgian makes no representations or warranties, express or implied, as to the accuracy, completeness, or fitness for any purpose of any Confidential Information shared through the GGN by other Members. Members are solely responsible for verifying information before relying on it and for their own decisions made in connection with Community Activities.

Term and Survival of Confidentiality Obligations

Your confidentiality obligations take effect upon your clicking "I AGREE" and remain in effect for the duration of your GGN membership. With respect to Confidential Information received during your membership, these obligations will survive termination of your membership and continue for a period of 3 years following the date of termination, or indefinitely with respect to any information that constitutes a trade secret under applicable law.

Injunctive Relief

You acknowledge that a breach of your confidentiality obligations would cause serious and irreparable harm to Georgian and/or other Members that could not be adequately compensated by monetary damages. Georgian and any affected Member may seek injunctive relief or specific performance without proof of actual damages and without the requirement to post any bond or other security, and you will not plead the sufficiency of damages as a defence to such proceedings. These remedies are in addition to, and not in substitution for, any other available remedies.

Note: These GGN Terms are not intended to supersede any more protective bilateral non-disclosure agreement you may put in place with another Member directly. Please consider whether a more protective arrangement is required for your purposes.

Use of the GGN Platform

You must be a GGN Member to access the GGN Platform and use the Services.
You are solely responsible for maintaining the confidentiality of your account and password, and you accept all responsibility for activities that occur under your account.
If you are accessing and/or using the GGN Platform on behalf of another individual, or as a consultant, delegate, or agent of a third party, you represent and warrant that you have the authority to act on behalf of and bind such individual or third party principal to these GGN Terms.
Georgian or a GGN Member may present links to third-party websites and services on the GGN Platform. Neither Georgian nor such GGN Member is responsible for, or has any control over, the content made available via any such links, and you are advised to review any policies and terms applicable to those platforms or service providers.
Georgian may permit GGN Members to create, post, upload, submit, publish, and display comments and content or materials ("Contributions") on or through the GGN Platform. Should a post or submission violate good business practices, Georgian reserves the right to remove the post and remove any Member who violates our content standards.
Using the GGN Platform does not give you ownership or intellectual property rights in the GGN Platform or the content you access. By using the GGN Platform you acknowledge that Georgian, or its licensors, is the sole owner of the GGN Platform and all intellectual property rights therein.
You are solely responsible for your Contributions to the GGN Platform.
You agree to use the GGN Platform professionally, in accordance with these GGN Terms, and for lawful purposes only.

You agree not to:

misrepresent any information;
violate the intellectual property rights or other rights of anyone, including of Georgian or other GGN Members;
use, copy, adapt, modify, prepare derivative works of, distribute, license, sell, transfer, publicly display, publicly perform, transmit, broadcast, or otherwise exploit the GGN Platform or any content therein, except to the extent you are the legal owner of certain Contributions or as expressly permitted in these GGN Terms;
violate these GGN Terms or the Privacy Policy;
engage in conduct that is illegal, inappropriate, profane, obscene, defamatory, discriminatory, inflammatory, or unethical;
use the GGN Platform to facilitate unauthorized public sharing of any content;
engage in conduct intended to harm any other person in any way;
attempt to compromise the account or privacy of another GGN Member; or
use the GGN Platform to conduct any technology-based harm including, but not limited to, distribution of viruses, spyware, adware, malware, unauthorized extraction of data, interruption or disruption of networks or accounts connected to the GGN Platform, or spam.

Personal Information

You agree that Georgian may collect, use, and disclose personal information pursuant to Georgian's Privacy Policy, which is incorporated into these GGN Terms. If you, for any reason, collect, store, or process personal information when using the Services, you agree to comply with all applicable privacy and data protection laws and the personal information terms set out in the Privacy Policy.

Use of Artificial Intelligence

Georgian may use artificial intelligence ("AI") tools to support the operation, administration, and improvement of the GGN Platform and Services, including to assist with content generation, summarization, or analysis. Any content you contribute to the GGN Platform may be processed by such tools. Georgian will not use your Contributions to train third-party AI models without your consent.

Limitation of Liability

You agree to evaluate the appropriateness of any information obtained from the GGN Platform prior to using it.
Neither Georgian nor any GGN Member shall have any liability to you of any kind.
Georgian does not guarantee the quality, suitability, or legality of any GGN Platform content, including the truth or accuracy of any user content or Contribution, or the performance or conduct of any Member or third party. We do not endorse any GGN Members, services, or activities. You are responsible for conducting due diligence and exercising care when using the GGN Platform, and you alone are responsible for the decisions you make and how you use the GGN Platform and any information contained therein, at your own risk.
The GGN Platform is available "AS IS" and "WITH ALL FAULTS." Georgian, to the maximum extent permitted by law, expressly disclaims all warranties and representations, express or implied, including: (a) the implied warranties of merchantability and fitness for a particular purpose; (b) any warranty with respect to the quality, accuracy, currency, or completeness of the GGN Platform, or that Members' use will be error-free, uninterrupted, free from other failures, or meet Members' requirements; (c) the warranties of title and non-infringement; and (d) any conduct, connection, or communication created as a result of interaction with other GGN Members.
Georgian does not monitor or verify the accuracy, currency, or completeness of Contributions and expressly disclaims any responsibility or liability arising therefrom.
The opinions and views expressed on the GGN Platform are those of the GGN Member who expresses them and do not necessarily represent the views of other GGN Members or Georgian.
You release Georgian from any and all liability, damages, or loss, whether economic or non-economic, of any type or character, arising out of or in connection with the Services or the GGN Platform, whether based on warranty, contract, or tort (including negligence), product liability, or any other legal theory, to the maximum extent permitted by law.

THE FOREGOING LIMITATIONS OF LIABILITY AND DAMAGES ARE FUNDAMENTAL AND FORM THE BASIS OF THE BARGAIN BETWEEN GEORGIAN AND YOU.

Some jurisdictions do not allow the exclusion of certain warranties or the exclusion or limitation of liability for consequential or incidental damages, so the limitations above may not apply to you. Notwithstanding the foregoing, the above exclusions and limitations of liability are intended to apply to you to the greatest extent allowed by law.

Indemnity

You agree to indemnify, hold harmless, and defend Georgian, its affiliates, subsidiaries, agents, successors, assigns, third-party providers, licensors, and suppliers, and each of their respective officers, directors, employees, and representatives (collectively, "Indemnified Parties") from and against any and all liability, loss, claim, damages, expense, or costs (including legal fees and expenses) incurred by or made against the Indemnified Parties in connection with any claim arising from or related to: (i) your access and use (or anyone's access and use of your accounts) of the GGN Platform and/or information available on it; (ii) any breach or violation of these GGN Terms and/or our policies, by you or anyone utilizing your account, including a breach of your confidentiality obligations and/or any act or omission of or by you or a party related to you; (iii) any claim or allegation that your Contributions infringe the intellectual property rights or other proprietary rights of any third party; or (iv) your breach of any laws, regulations, or third-party rights, including any failure to comply with the GDPR or other applicable privacy laws.

You agree: (a) to fully cooperate at your expense as reasonably required by an Indemnified Party; (b) each Indemnified Party may, at its election, assume the defense and control of any matter for which it is indemnified hereunder; and (c) you shall not settle any matter involving an Indemnified Party without the consent of the applicable Indemnified Party.

Member Eligibility, Withdrawal, and Termination

Membership in the GGN is available solely to executives of companies that form part of Georgian’s active investment portfolio ("Georgian Portfolio Companies"), or their delegates or agents, as applicable. GGN membership shall automatically terminate upon a Georgian Portfolio Company ceasing to be part of Georgian’s active portfolio, whether by divestment, exit, or any other change in investment status, without requirement of further notice or action by Georgian. Upon such termination, all rights of access to the GGN Platform, Services, and any associated resources shall immediately cease. Georgian shall bear no liability arising from such termination. Notwithstanding the foregoing, Georgian may, in its sole and absolute discretion, grant limited transitional access or approve re-admission to the GGN, subject to such terms and conditions as Georgian may prescribe in writing.

You may terminate your account and these GGN Terms at any time by closing your account and discontinuing your use of the GGN Platform.

Georgian reserves the right to refuse service, terminate or suspend accounts, disable any user identification code or password, remove or edit content, and otherwise terminate your right to use the Services and GGN Platform at any time, without prior notice or liability, for any or no reason, including:

if in Georgian's opinion, you have failed to comply with any provision of these GGN Terms, Georgian policies, applicable laws or regulations, or third-party rights;
for the protection of Georgian, or any GGN Member, from any threat or perceived harm, including to property;
if you fail to take reasonable efforts to protect your account;
for fraud prevention, risk assessment, or security purposes; or
if Georgian decides to suspend or terminate the GGN Platform.

Georgian reserves the right to modify or discontinue the GGN Platform at any time (including by limiting or discontinuing certain features), temporarily or permanently, without notice, and will have no liability for any such change, suspension, or termination.

All provisions of these GGN Terms which by their nature should survive termination shall survive termination, including, without limitation, intellectual property, confidentiality, and privacy provisions, warranty disclaimers, indemnity, and limitations of liability.

No Partnership

Your relationship with Georgian is limited to being an independent, third-party contractor only. You act exclusively for yourself and for your own benefit, and not on behalf of or for the benefit of Georgian. Nothing in these GGN Terms creates a partnership, joint venture, agency, or fiduciary relationship between you and Georgian or between you and any other Member.

Governing Law and Jurisdiction

These GGN Terms shall be governed by and construed under the laws of the Province of Ontario, Canada. Each party irrevocably waives any objection on the grounds of venue, forum non-conveniens, or any similar grounds and consents to the jurisdiction of the courts of the Province of Ontario, Canada.

Assignment, Transfer, and Delegation

You may not assign, transfer, or delegate these GGN Terms or your rights and obligations hereunder without Georgian's prior written consent.
